BACKGROUND INFORMATION

Effective corporate governance lies at the heart of the modern successful organisation. The definition of Corporate Governance that was set out in the 1992 Cadbury Report (“…the system by which companies are directed and controlled”) remains relevant to this day. So do the fundamental principles that had been identified as being key to achieving effective governance.
The business environment has, however, changed dramatically since that report was published over thirty years ago. Economies have gone through periods of significant growth as well as severe recessions, including a global pandemic, that have shaped a number of aspects of corporate life. We have also witnessed the collapse of large organisations, as well as corporate scandals, that have impacted stakeholders’ trust in the economic system and their view as to what good corporate governance is. This, together with other more evolutionary drivers of change, have meant that the area of corporate governance is one which has developed significantly over these years.
The lecture aims at providing an overview of the key aspects of good corporate governance for today’s organisation. Referring to codes of corporate governance, regulation and case studies we will cover the effective implementation of key principles such as the role of the Board of Directors, culture, ethics and the control framework. The lecture will also cover current and future trends in the area, such as ESG and sustainability and the combating of financial crime in helping you answer the question of how organisations should be equipped to eliminate risks and exploit opportunities.

    Speaker's Profile

    Alex Azzopardi joined KPMG in 2005 within the firm’s Audit function where he specialised in the external audits of financial services entities. After 8 years, Alex moved to the Advisory function, where he assisted in the setting up of the Internal Audit Services line. Today, he leads engagements mainly focused on the provision of services in enterprise risk, corporate governance, regulatory compliance (including licensing), AML/CFT and internal audit services across the regulated financial services sectors and other non-regulated businesses. Alex is the Chairman of IIA - Malta, Fellow of the MIA and a member of ISACA.
