BACKGROUND INFORMATION

MiFID II/MiFIR established a harmonised EU/EEA passporting framework that enables authorised investment firms to provide services and carry out investment activities across borders, either on a services basis or through branches, under a streamlined home/host supervisory model. For Malta-based firms, notifications are submitted via the MFSA as the home competent authority, facilitating access to other EU/EEA markets without duplicative licensing processes. The regime continues to develop through ESMA guidance and supervisory practice, including areas such as reverse solicitation, cross border marketing conduct, the use of tied agents, the post Brexit third country landscape, and ongoing supervisory expectations. This session unpacks the legal framework and provides insight into its practical execution, including operational steps, governance controls, and documentation standards that advisors, and compliance professionals can apply when supporting clients wishing to expand cross border or reviewing passported operations. Attendees will gain a structured understanding of the rules and current regulatory expectations, with an emphasis on implementation in day to day practice.

    Speaker's Profile

    Kyra is a warranted lawyer within Deloitte Legal in Malta. She specialises in the laws and regulations governing financial institutions, investment services and capital markets. Kyra also has a keen interest in AML/CFT laws and has developed substantial experience in mergers and acquisitions over the course of her professional career. Before joining Deloitte Malta in 2024, Kyra worked at a top-tier law firm for eight years, where she dedicated most of her time assisting clients within the regulated space with obtaining authorisations to perform regulated services in Malta, and supporting them on an ongoing basis in meeting their legal and regulatory obligations. Since joining Deloitte, Kyra has taken on a leading role in a number of high-profile client engagements, many of which involve the provision of on-going technical support to regulated entities.
